These Terms of Service ("Terms") govern your use of Talia Ride and Talia Drive (together, "Talia," the "Platform," or the "Service"), operated by SWVP LLC ("SWVP," "we," "our," or "us"). By creating an account or using Talia, you agree to these Terms. If you do not agree, do not use the Service.

Talia is a software platform. We build and operate the technology that lets a rider and a personal driver find each other, connect, schedule rides, communicate, and coordinate pickup — nothing more. SWVP does not own or operate vehicles, does not employ drivers, does not dispatch drivers to the general public, does not set fares, and does not process, hold, or guarantee any payment made between a rider and a driver.
Talia is not a rideshare or Transportation Network Company (TNC) marketplace. We do not match strangers on demand across an open marketplace the way a public rideshare service does. Talia is built around private, ongoing relationships: a rider connects with a specific driver, that driver reviews and approves the connection, and future rides happen within that established relationship. The driver — not SWVP — is solely responsible for providing the actual transportation service, including compliance with all applicable licensing, insurance, vehicle safety, and local transportation laws.
This distinction matters because it is the basis for how these Terms allocate responsibility below: SWVP is responsible for the software working as described; drivers are responsible for the ride itself; riders are responsible for their own conduct and for paying their driver.

You must be at least 18 years old to create a Talia account, whether as a rider or a driver. By creating an account, you represent that you are 18 or older and that you have the legal capacity to enter into these Terms.
Drivers additionally represent that they hold a valid driver's license, maintain insurance as required by the laws of the state(s) in which they operate, and are legally permitted to provide transportation services in their jurisdiction.

Using Talia requires creating an account and establishing a connection between a rider and a driver:

Booking & Scheduling
Riders may request rides from their connected driver according to that driver's posted availability. A ride is not confirmed until the driver accepts it in the app. Drivers set their own availability, pricing structure, and may decline any individual ride request at their discretion.
Payment
Talia does not process payment. Payment for a ride is a direct transaction between the rider and the driver, made through whatever method the driver accepts (cash, Apple Pay, Venmo, Cash App, Zelle, or similar). SWVP is not a party to that transaction, does not guarantee payment to the driver, does not guarantee a refund to the rider, and is not responsible for resolving payment disputes between a rider and a driver. Riders are responsible for paying their driver in full for completed rides.
Conduct
Riders agree to treat drivers with respect, to be ready at the agreed pickup time and location, and to not engage in harassment, discrimination, or unsafe behavior toward a driver. A driver may decline future rides with, or remove the connection to, a rider for any conduct-related reason.

Independent Contractor Status
Drivers using Talia are independent contractors, not employees, agents, or partners of SWVP. Drivers set their own schedule, availability, and (subject to the Service's pricing tools) their own rates. SWVP does not control how, when, or whether a driver provides a ride, and does not direct or supervise a driver's work.
Responsibility for the Ride
The driver is solely responsible for the safe and lawful operation of their vehicle and for the transportation service itself, including maintaining a valid license, appropriate insurance coverage, a safe and legally compliant vehicle, and compliance with all applicable federal, state, and local transportation laws in the jurisdiction where they operate.
Payment Collection
Drivers are solely responsible for collecting payment from their riders and for any tax reporting or obligations arising from that income. SWVP does not withhold, remit, or report taxes on a driver's behalf and does not guarantee that any rider will pay for a completed ride.
Screening
SWVP does not perform, and does not represent that it performs, background checks, driving record checks, or vehicle inspections on drivers. Riders connect with a driver based on their own judgment and, where relevant, any pre-existing personal relationship.

Regardless of whether you use Talia as a rider or a driver, you agree not to:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
SWVP DOES NOT PROVIDE TRANSPORTATION SERVICES AND IS NOT RESPONSIBLE FOR THE ACTIONS, CONDUCT, OR OMISSIONS OF ANY DRIVER OR RIDER, ON OR OFF THE PLATFORM, INCLUDING DURING AN ACTUAL RIDE. WE DO NOT GUARANTEE THE AVAILABILITY, SAFETY, QUALITY, OR LEGALITY OF ANY RIDE ARRANGED THROUGH TALIA.
Talia relies on third-party infrastructure — including GPS/location services, mapping and routing data, and push notification delivery — to provide features like live tracking and arrival alerts. We do not guarantee the accuracy, availability, or timeliness of this data, and are not responsible for a delay, inaccuracy, or failure originating from a third-party service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWVP LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY RIDE ARRANGED THROUGH THE SERVICE — WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF SWVP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWVP'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You may stop using Talia and delete your account at any time from within the app. We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in unsafe or unlawful conduct, or misused the Service.
Deleting a rider account permanently removes your profile, ride history, receipts, and connections from our systems, and cannot be undone. If you have an active ride or an outstanding balance with a driver, you'll need to resolve it before your account can be deleted.

Talia is operated by SWVP LLC, headquartered in Louisiana, and as of the effective date above these Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-law principles. As Talia expands to riders and drivers in other states, this section will be updated to reflect any state-specific terms required for lawful operation in those jurisdictions. Nothing in these Terms is intended to require you to waive any consumer protection you're entitled to under the law of the state where you reside.
These Terms do not currently include a mandatory arbitration clause or class action waiver.

We may update these Terms from time to time. When we do, we'll update the effective date at the top of this page. For material changes, we'll notify users through the app. Continued use of Talia after changes are posted constitutes acceptance of the updated Terms.
